Dear Shareholder:Shareholder,

 

The shareholders of each of the All Terrain OpportunityVivaldi Merger Arbitrage Fund and Vivaldi Multi-Strategy Fund (the “Fund”“Funds”), each a series of Investment Managers Series Trust II (the “Trust”), are being asked to approve a new investment advisory agreement between the appointment by the Trust’s Board of Trustees of Foothill CapitalTrust and Vivaldi Asset Management, LLC (“FCM”VAM”), under which Vivaldi will continue to serve as the co-investment adviser to the Fund.

Bauer Capital Management, LLC (“Bauer”) served as co-investment adviserinvestment advisor to the Fund from the time the Fund commenced operations on November 3, 2014, until December 14, 2018. On December 14, 2018, FCM acquired Bauer (the “Acquisition”“New Advisory Agreement”).

Currently, VAM is a wholly owned subsidiary of Vivaldi Holdings, LLC (“Vivaldi”). VAM has indicated that it intends to agree with First Trust Capital Partners, LLC (“First Trust”) to create a joint venture, FT Capital Solutions, LP (“FTCS”), which reorganized into FCM in connection withwill be owned equally by Vivaldi and First Trust (the “Transaction”). The closing of the Acquisition. The Acquisition resultedTransaction is expected to occur on or about September 15, 2021 (the “Closing”). Upon the Closing, VAM will become a wholly owned subsidiary of FTCS, which will result in an assignment and termination of the Fund’s then-existingFunds’ current investment co-advisoryadvisory agreement with Bauer.VAM. In anticipation of the AcquisitionTransaction and these related events, the Board of Trustees of the Trust, approvedincluding a new investment co-advisory agreement on October 17, 2018majority of the Trustees who are not “interested persons” of the Trust as that term is defined in the Investment Company Act of 1940, as amended (the “New Agreement”“1940 Act”), at a meeting held on June 30, 2021, considered and approved the New Advisory Agreement with respect to each Fund, which allows FCMwill allow VAM to continue to serve as the investment adviseradvisor to the Fund under terms substantially similar to those of the priorcurrent investment co-advisory agreement. The New Agreement is effective for 150 days fromadvisory agreement between VAM and the dateTrust on behalf of the closingFund.

The Funds’ investment objectives and investment strategies will not change as a result of the Acquisition (on May 12, 2019), unless approved byTransaction and the shareholdersinvestment advisory personnel who currently provide services to the Funds on behalf of VAM are expected to continue to do so following the Transaction. Approval of the Fund, in which case the New Advisory Agreement will remain in effect fornot alter the number of shares of a two-year period.Fund you own.

 

To provide for continuity in the operation of the Fund, youYou are being asked to approve the New Advisory Agreement. UnderThe New Advisory Agreement will become effective with respect to each Fund upon the closing of the Transaction, which is expected to occur on September 15, 2021, and if approved by the shareholders of each Fund, will be in effect with respect to the Fund for an initial two-year term, and will be subject to annual renewal thereafter.

The implementation of the New Advisory Agreement FCMis subject to the closing of the Transaction and (beyond the up to 150-day interim period referred to in the enclosed proxy statement) the approval of the applicable Fund’s shareholders. The approval of the New Advisory Agreement by shareholders of a Fund is not dependent upon the approval of the New Advisory Agreement by shareholders of the other Fund. If the Transaction closes prior to the special meeting of shareholders, the New Advisory Agreement will continuetake effect, subject to providereceipt of shareholder approval within 150 days after the close of the Transaction If the Transaction closes but shareholders of either or both Funds do not approve the New Advisory Agreement at the special meeting or an adjournment thereof, VAM will cease providing investment advisory services to the Fund, subject to the oversight ofsuch Fund(s) and the Board of Trustees under terms that are similarwill consider other alternatives and make such arrangements for the management of any such Fund’s investments as it deems appropriate and in all material respectsthe best interests of the Fund. Upon the Closing, VAM will become a wholly owned subsidiary of FTCS, which will result in an assignment and termination of the current investment advisory agreement between the Trust, on behalf of the Funds, and VAM.

In anticipation of the Transaction and these related events, the Board of Trustees of the Trust, including a majority of the Trustees who are not “interested persons” of the Trust as that term is defined in the Investment Company Act of 1940, as amended (the “1940 Act”), ), at a meeting held on June 30, 2021, considered and approved the Acquisition automatically terminated Bauer’s then-current investment co-advisory agreement withNew Advisory Agreement which, subject to shareholder approval, will allow VAM, subject to the Fund.

In anticipationoversight of the Acquisition and these related events, the Board of Trustees, to serve as the investment advisor to each Fund under terms that are substantially similar to those of the Trust approved on October 17, 2018, an interim and newcurrent investment co-advisoryadvisory agreement with FCM (the “New Agreement”)VAM, except that, as required under the 1940 Act, each New Advisory Agreement will terminate with respect to a Fund 150 days after its effective ondate unless it is approved by a majority of the dateshareholders of the Fund, and compensation earned under the New Advisory Agreement with respect to a Fund will be escrowed until shareholders of the Fund approve the New Advisory Agreement.

The implementation of the New Advisory Agreement is subject to the closing of the Acquisition,Transaction and (beyond the up to continue150-day interim period referred to managebelow) the approval of the applicable Fund’s shareholders. The approval of the New Advisory Agreement by shareholders of a Fund is not dependent upon the approval of the New Advisory Agreement by shareholders of the other Fund. If the Transaction closes prior to the Special Meeting, the New Advisory Agreement will take effect, subject to oversightreceipt of shareholder approval within 150 days after the close of the Transaction. If approved by the Boardshareholders of Trustees. Theeach Fund, the New Advisory Agreement has substantially the same terms as the previous investment co-advisory agreement between the Trust,will remain in effect with respect to the Fund for an initial two-year term, and Bauer.will be subject to annual renewal thereafter. If the Transaction closes but shareholders of either or both Funds do not approve the New Advisory Agreement at the Special Meeting or an adjournment thereof, VAM will cease providing investment advisory services to such Fund(s) and the Board of Trustees will consider other alternatives and make such arrangements for the management of any such Fund’s investments as it deems appropriate and in the best interests of the Fund. If the Transaction does not close, regardless of whether the New Advisory Agreement is approved by the shareholders of both Funds, VAM will continue to serve as the investment advisor to the Funds pursuant to the current advisory agreement.

The 1940 Act requires a new investment advisory agreement of a registered investment company to be approved by a majority vote of the outstanding voting securities of that investment company. Rule 15a-4 under the 1940 Act provides a temporary exemption from the shareholder approval requirement for an interim period of up to 150 days after termination of an advisory contractagreement provided that the advisory compensation paid during the interim period is no greater than the compensation paid under the previous advisory agreement,agreement; compensation earned under the new agreement will be escrowed until shareholders approve the new agreement; and the investment company’s board of trustees, including a majority of the independent trustees, has approved the interim investment advisorynew agreement. Pursuant to Rule 15a-4, the Board of Trustees has appointed FCMVAM to continue to serve as the interim investment adviseradvisor to theeach Fund and is seeking to obtain approval of the New Advisory Agreement by the shareholders of theeach Fund. The New Advisory Agreement will terminate with respect to theeach Fund 150 days after its effective date (on May 12, 2019) unless it is approved by a majority of the shareholders of the Fund.

 


PROPOSAL 1: APPROVAL OF NEW INVESTMENT ADVISORY AGREEMENT

On October 17, 2018, the BoardA form of Trustees approved the New Agreement and appointed FCM as investment adviser to the Fund. A copy of the NewAdvisory Agreement is included as Appendix BC to this Proxy Statement, and allStatement. All references to the New Advisory Agreement are qualified by reference to Appendix B.C.

 

ConsiderationPROPOSALS 1 AND 2 – APPROVAL OF NEW ADVISORY AGREEMENT

Information Regarding VAM and the Current Investment Advisory Agreement with VAM

VAM, a Delaware limited liability company formed in 2013 which maintains its principal offices at 225 West Wacker Drive, Suite 2100, Chicago, Illinois 60606, is an SEC-registered investment advisor and provides investment advice to open-end and closed-end funds. As of NewJune 30, 2021, VAM has approximately $927 million in assets under management, and VAM and its affiliates have approximately $4.1 billion in assets under management. VAM is wholly owned by Vivaldi Holdings, LLC, located at 225 West Wacker Drive, Suite 2100, Chicago, Illinois 60606. Vivaldi Holdings, LLC is in turn controlled by AAJ Ventures Inc., an entity controlled by David A. Sternberg.

VAM serves as investment advisor to the Vivaldi Merger Arbitrage Fund pursuant to an investment advisory agreement with the Trust dated October 1, 2015, and to the Vivaldi Multi-Strategy Fund pursuant to an investment advisory agreement with the Trust dated December 16, 2016 (together, the two investment advisory agreements are referred to as the “VAM Advisory Agreement”). The VAM Advisory Agreement describes the services that VAM provides to the Funds, which generally include reviewing, supervising, and administering the investment program of the Funds. In addition, VAM has the ability to delegate day-to-day portfolio management responsibilities of each Fund to one or more sub-advisors, and in that connection, is responsible for making recommendations to the Board of Trustees of the Trust with respect to hiring, termination and replacement of any sub-advisor of the Funds. VAM is not liable to the Trust under the terms of the VAM Advisory Agreement for any error of judgment or mistake of law or for any loss suffered by VAM or the Trust in connection with the performance of the VAM Advisory Agreement, except a loss resulting from a breach of fiduciary duty by VAM with respect to the receipt of compensation for services or a loss resulting from willful misfeasance, bad faith or gross negligence on VAM’s part in the performance of its duties or from reckless disregard by VAM of its duties under the VAM Advisory Agreement. The VAM Advisory Agreement continues in force from year to year with respect to each Fund so long as it is specifically approved at least annually in the manner required by the 1940 Act. The VAM Advisory Agreement may be terminated with respect to either Fund at any time, without the payment of any penalty: (i) by the Board or by a vote of a majority of the outstanding voting securities of the Fund on 60 days’ written notice to VAM; or (ii) by VAM on 60 days’ written notice to the Trust. In addition, the VAM Advisory Agreement with respect to each Fund will terminate automatically upon its assignment.

 

The Board metVAM Advisory Agreement with respect to the Vivaldi Merger Arbitrage Fund was submitted for approval by the initial shareholder of the Fund prior to the Fund’s commencement of operations on October 17, 2018,1, 2015. At a special meeting of shareholders of the Vivaldi Orinda Macro Opportunities Fund, a series of Advisors Series Trust, held on December 5, 2016, shareholders approved the reorganization of the Vivaldi Orinda Macro Opportunities Fund into the Vivaldi Multi-Strategy Fund and approved the VAM Advisory Agreement with respect to considerthe Vivaldi Multi-Strategy Fund. The Vivaldi Orinda Macro Opportunities Fund reorganized into the Vivaldi Multi-Strategy Fund on December 16, 2016. The VAM Advisory Agreement with respect to each Fund was last renewed by the Trust’s Board on April 22, 2021.


Pursuant to the VAM Advisory Agreement, for its services, VAM is entitled to receive an annual management fee as listed below of each Fund’s average daily net assets, calculated daily and payable monthly. For the fiscal year ended September 30, 2020, VAM received advisory fees, net of fee waivers pursuant to its expense limitation agreements with the Trust on behalf of each Fund, as follows:

VAM has contractually agreed until January 31, 2022, to waive its fees and/or pay for operating expenses of each Fund to ensure that the total annual fund operating expenses (excluding as applicable, any taxes, leverage interest, brokerage commissions, dividend and interest expenses on short sales, acquired fund fees and expenses (as determined in accordance with Form N-1A), expenses incurred in connection with any merger or reorganization, extraordinary expenses such as litigation expenses, Rule 12b-1 fees, and shareholder service fees) do not exceed 1.85% and 1.55% of each Fund’s average daily net assets of Class A and Class I shares, respectively. Fees waived and expenses paid by VAM may be reimbursed for a period ending three full fiscal years from the day of any such waiver or payment if the reimbursement will not cause a Fund’s annual expense ratio to exceed the lesser of (a) the expense limitation in effect at the time such fees were waived or payments made, or (b) the expense limitation in effect at the time of the reimbursement.

Pursuant to an exemptive order received from the SEC, VAM is permitted, subject to Board approval, to enter into or materially amend sub-advisory agreements with existing or new unaffiliated sub-advisors without approval of Fund shareholders (“Exemptive Relief”). Pursuant to the Exemptive Relief, each Fund is required to notify shareholders of the retention of a new sub-advisor within 90 days of the hiring of the new sub-advisor. In addition, the Exemptive Relief permits the Funds to make modified disclosures regarding their sub-advisory fees. Approval by Fund shareholders is required before any authority granted under the exemptive order may be exercised. Shareholders of the Vivaldi Orinda Macro Opportunities Fund, the predecessor fund that reorganized into the Vivaldi Multi-Strategy Fund on December 16, 2016, approved VAM’s use of the Exemptive Relief at a special meeting of shareholders held on December 5, 2016.

As of the date of this proxy statement, VAM has engaged each of RiverNorth Capital Management, LLC (“RiverNorth”), located at 325 N. LaSalle Street, Suite 645, Chicago, Illinois 60654, and Angel Oak Capital Advisors, LLC (“Angel Oak”), located at 3344 Peachtree Road NE, Suite 1725, Atlanta, Georgia 30326, as an investment sub-advisor to the Vivaldi Multi-Strategy Fund. The current sub-advisory agreement with each of RiverNorth and Angel Oak (together, the “Current Sub-Advisory Agreements”) will automatically terminate upon the closing of the Transaction. VAM recommended that the Board approve new sub-advisory agreements (together, the “New Sub-Advisory Agreements”) between VAM and each of RiverNorth and Angel Oak. If shareholders of the Vivaldi Multi-Strategy Fund approve the New Advisory Agreement, the New Sub-Advisory Agreements will take effect upon the closing of the Transaction. If the Transaction is not completed, neither New Sub-Advisory Agreement will go into effect and each Current Sub-Advisory Agreement will continue in effect. The terms of each New Sub-Advisory Agreement are identical to the corresponding Current Sub-Advisory Agreement, except for the effective dates.

Board Consideration of InitialNew Advisory Agreement

AtIn advance of its April 2018 meeting held on June 30, 2021, the Board considered a variety of matters in connection with the annual renewal of the Initial Agreement, includingreceived information about Bauer’sthe Funds and the New Advisory Agreement from VAM, and from Mutual Fund Administration, LLC and UMB Fund Services, Inc., the Trust’s co-administrators, certain portions of which are discussed below. The materials, among other things, included information about the Transaction and VAM’s (and its affiliates’) organization and financial condition; information regarding the background and experience of itsrelevant personnel providing services to the Fund;Funds; reports comparing the performance of theeach Fund with returns of the HFRX Global Hedge Fund Index (the “Index”)its benchmark index and a group of comparable funds (each, a “Peer Group”) selected by Morningstar,Broadridge Financial Solutions, Inc. (the “Performance Peer Group”(“Broadridge”) from its Multialternative category (the “PerformanceMorningstar, Inc.’s relevant fund universe (each, a “Fund Universe”); for the one-, three- and five-year periods ended January 31, 2021, and May 31, 2021; and reports regardingcomparing the investment advisory fees and total expenses of theeach Fund compared with those of the Peer Group and Fund Universe. The Board also received a groupmemorandum from the independent legal counsel to the Trust and the Independent Trustees discussing the legal standards under the 1940 Act and other applicable law for their consideration of comparable funds selected by Broadridge Financial Services (the “Expense Peer Group”) from Morningstar, Inc.’s Multialternative fund category (the “Expense Universe”); and information about Bauer’s policies and procedures, including its compliance manual and brokerage and trading procedures.

In addition, the Board considered information included inreviewed by the meeting materials regardingBoard throughout the performanceyear at other Board and Board committee meetings. No representatives of VAM were present during the Board’s consideration of the Fund. TheNew Advisory Agreement.

In approving the New Advisory Agreement, the Board noted that the materials they reviewed indicated that the total return of the Fund for the one-year period ended January 31, 2018, was higher than the Performance Peer Group median return, the Performance Universe median return, and the Index return. ForIndependent Trustees considered a variety of factors, including those discussed below. In their deliberations, the three-year period ended January 31, 2018, the Fund’s annualized total return was higher than the Performance Peer Group median return, the Performance Universe median return,Board and the Index return.Independent Trustees did not identify any particular factor that was controlling, and each Trustee may have attributed different weights to the various factors.

 

Nature, Extent and Quality of Services

The Board also considered the overall quality of services to be provided by BauerVAM to the Fund.Funds. In doing so, the Board considered Bauer’s specific responsibilities in day-to-daythe role of VAM as investment advisor to the Funds, noting that VAM would provide overall supervision of the general investment management and investment operations of each Fund and oversight of any sub-advisors with respect to such Fund’s operations, including monitoring the Fund, as well asinvestment and trading activities of the sub-advisors, monitoring each such Fund’s compliance with its investment policies, and providing general administrative services related to VAM’s overall supervision of the Funds. The Board considered the qualifications, experience and responsibilities of the personnel involved in the activities of the Funds, noting that key personnel of VAM would continue to be involved in overall supervision of the general investment management and investment operations of each Fund. The Board also considered the overall quality of Bauer’sVAM’s organization and operations, and itsVAM’s compliance structurestructure.

With respect to the performance results of the Funds, the Meeting Materials indicated the following:

·With respect to the periods ended January 31, 2021, Vivaldi Merger Fund’s total return for the one-year period was above the Peer Group and Market Neutral Fund Universe median returns and the Bloomberg Barclays U.S. Aggregate Bond Index return, but below the S&P 500 Index return by 11.30%. The Fund’s annualized total return for the three-year period was higher than the median return of the Fund Universe, but below the Peer Group median return, the Bloomberg Barclays Index return, and the S&P 500 Index return by 0.45%, 0.68%, and 7.01%, respectively. The Fund’s annualized total return for the five-year period was above the Fund Universe median return, but below the Bloomberg Barclays Index return, the Peer Group median return, and the S&P 500 Index return by 0.20%, 1.58%, and 12.45%, respectively. The Trustees observed that the Fund’s volatility of returns, as measured by its standard deviation, and its downside volatility, as measured by its Morningstar risk score, ranked it in the first quartile of the funds (which is the most favorable) in the Peer Group and Fund Universe for the one-, three-, and five-year periods. The Trustees also considered Vivaldi’s assertion that the Fund’s modest underperformance of the Bloomberg Barclays Index over the three- and five-year periods was due to significant outperformance by traditional bonds during those periods.

With respect to the periods ended May 31, 2021, the Vivaldi Merger Arbitrage Fund’s annualized total returns for the one-, three-and five-year periods were ranked in the third quartile of funds in the Peer Group and compliance procedures.above the returns of the Bloomberg Barclays U.S. Aggregate Bond Index but below the returns of the S&P 500 Index by at least 12.26%.

 

·With respect to the periods ended January 31, 2021, the Vivaldi Multi-Strategy Fund’s annualized total return for the three- and five-year periods were above the Peer Group and Multialternative Fund Universe median returns and the ICE BofA 3-Month U.S. Treasury Bill Index returns. The Fund’s total return for the one-year period was above the Fund Universe median return and the ICE BofA Index return, but below the Peer Group median return by 0.22%. The Trustees considered that for the three- and five-year periods, the Fund’s performance ranked it in the top quartile and the second quartile, respectively, of the funds in the Peer Group and Fund Universe.

With respect to the periods ended May 31, 2021, the Vivaldi Multi-Strategy Fund’s total return for the one-year period was ranked in the highest quartile of funds in the Peer Group and above the returns of the ICE BofA 3-Month U.S. Treasury Bill Index. The Fund’s annualized total returns for the three- and five-year periods were ranked in the second quartile of funds in the Peer Group and above the returns of the ICE BofA 3-Month U.S. Treasury Bill Index.

Advisory Fees and Expense Ratios

The Board considered information included inthat under the meeting materials regardingNew Advisory Agreement, VAM would be entitled to the investmentsame advisory fees as VAM is entitled under the VAM Advisory Agreement, and total expensesthat in addition, VAM had contractually agreed to maintain the same expense limitation arrangement for the Funds currently in effect for a period of two years from the Closing of the Fund.Transaction. With respect to the advisory fees and expenses paid by the Fund, the Board noted thatFunds, the meeting materials indicated that the investment advisory fees (gross of fee waivers) were higher than the median of the Fund’s Expense Peer Group (by 19 basis points) and the median of the Expense Universe (by 37 basis points). following:

·The Vivaldi Merger Arbitrage Fund’s annual investment advisory fee (gross of fee waivers) was the above the Peer Group median and the Market Neutral Fund Universe median by 0.10% and 0.15%, respectively. The Board noted that the Fund’s advisory fee was not in the highest quartile of funds in the Peer Group. The Board also considered the complexity of the Fund’s investment strategy and noted that the Fund Universe does not represent only dedicated merger arbitrage strategy funds but rather the entire market neutral universe. The Board also considered that VAM manages assets for a private fund and an ETF with similar investment strategies as those used by the Vivaldi Merger Arbitrage Fund, but that those accounts have different restrictions than the Fund regarding position sizing, restricted securities/sectors and leverage, and as a result, those accounts have differing fee structures. The Board observed that the Vivaldi Merger Arbitrage Fund’s advisory fee was higher than the management fees of the ETF and the private fund, but noted that the private fund also pays a performance-based fee and therefore could pay higher overall fees than the Fund, depending on the private fund’s performance. The Board also observed that management of mutual fund assets requires compliance with certain requirements under the 1940 Act that do not apply to a private fund. The Board also noted that the Fund’s advisory fee was within the range of the advisory fee paid by the other series of the Trust managed by VAM.

The Board noted that Bauer had reduced its advisory fee in the prior year and that Bauer waived a portion of its advisory fees for the year ended January 31, 2018. In reviewing the Fund’s proposed advisory fee, the Trustees considered Bauer’s assertions that the Fund’s advisory fee is appropriate in light of the extensive time and work that is put into managing the Fund’s investment strategy, and that the strategy is unique in that it incorporates a significant number of factors, a significant amount of research, and a proprietary risk model. The Board also considered information regarding the allocation of the Fund’s advisory fee between Bauer and Castle, the Fund’s co-advisor. The Board noted that Bauer does not manage assets for any other clients using the same investment strategies as those used by the Fund. The Board also observed that the Fund’s proposed advisory fee was lower than Bauer’s standard fee for separate account clients.


In considering theannual total expenses paid by the Vivaldi Merger Arbitrage Fund the Board observed that the total expenses (net of fee waivers) for the Fund’s most recent fiscal year were above the Peer Group and Fund Universe medians by 0.09% and 0.26%, respectively. The Board considered VAM’s assertion that as a smaller firm, it could not cap expenses at levels comparable to peer funds that were part of much larger fund complexes, the advisors of which could support lower expense caps due to their size.

·The Vivaldi Multi-Strategy Fund’s annual investment advisory fee (gross of fee waivers) was the same as the Peer Group median and higher than the Multialternative Fund Universe median by 0.10%. The Board considered that VAM manages one other registered fund using a multialternative strategy for a lower fee than it charged the Vivaldi Multi-Strategy Fund, but noted Vivaldi’s assertion that the fee for that fund is lower due to its fund-of-funds structure. The Board also considered that the Fund’s advisory fee was lower than the advisory fee paid by the other series of the Trust managed by VAM.

The annual total expenses paid by the Vivaldi Multi-Strategy Fund (net of fee waivers) for the Fund’s most recent fiscal year were slightly higher than the Expense Peer Group median (by 10 basis points)by 0.02%, and Expensehigher than the Fund Universe medians (by 35 basis points)median by 0.26%. The Board noted, however, that as of January 31, 2018, the Fund’s annual total expenses were likely above those of the Expense Peer Group as a resultaverage net assets of the Fund’s higher investment advisory fee and the Fund’s asset size being significantly smallerclass considered by Broadridge were lower than the average net assets of corresponding classes of funds in the Peer Group, and significantly lower than the average net assets of corresponding classes of the funds in the Expense Peer GroupFund Universe, and Expense Universe.that certain of those other funds also had significant assets in other classes.

Profitability and Economies of Scale

The Board also reviewed thenext considered information prepared by VAM relating to its expected costs and profitability to Bauer from its relationship with the Fund for the year ended January 31, 2018. The Board noted that Bauer had waived a portion of its advisory fee with respect to each Fund, noting that VAM had agreed to maintain the Fund.current expense limitation arrangement for a period of two years from the Closing of the Transaction. Recognizing the difficulty in evaluating an investment advisor’s profitability with respect to the funds it manages in the context of an advisor with multiple lines of business, and noting that other profitability methodologies might also be reasonable, the Board concluded that the profitexpected profits of BauerVAM from its relationshiprelationships with the Fund wasFunds were reasonable.

 

The Board also considered the potential benefits to be received by BauerVAM as a result of Bauer’sVAM’s relationship with the Fund (otherFunds, other than theits receipt of its investment advisory fee),fees, including any research received from broker-dealers providing execution services to the Fund,Funds, the beneficial effects from the review by the Trust’s Chief Compliance Officer of Bauer’sVAM’s compliance program, and the intangible benefits of Bauer’sVAM’s association with the FundFunds generally and any favorable publicity arising in connection with the Fund’sFunds’ performance. TheWith respect to the Vivaldi Merger Arbitrage Fund, the Board noted that although there were no advisory fee breakpoints, the Fund’s capacity is likely to be constrained and therefore, VAM did not expect to realize economies of scale with respect to the Fund. With respect to the Vivaldi Multi-Strategy Fund, the Board noted that the asset level of the Fund was not currently likely to lead to significant economies of scale, and that any such economies would be considered in the future as the assets of the Fund grow.


Conclusion

Based on its review, including its consideration of the fact that FCM’sVAM’s proposed compensation under the proposed New Advisory Agreement is the same as theVAM’s compensation of Bauer under the InitialVAM Advisory Agreement and that the Fund’s current portfolio manager willkey personnel of VAM would continue to managebe involved in overall supervision of the general investment management and investment operations of each Fund, following the Acquisition, the Board concluded that FCMVAM would have the capabilities, resources and personnel necessary to manage the Fund,Funds, and that in light of the services to be provided by FCMVAM to the FundFunds, the compensation to be paid to it under the New Advisory Agreement is fair and reasonable, and that approval of the New Advisory Agreement is in the best interest of theeach Fund and its shareholders.

Terms of the New Advisory Agreement

The terms of the New Agreement with FCM are substantially the same as the terms of the Initial Agreement, except that, as required under the 1940 Act, the New Agreement will terminate with respectRecord Date is entitled to the Fund 150 days after its effective date (on May 12, 2019) unless itone vote and each fractional share is approved by a majority of the shareholders of the Fund.

If approved by the shareholders of the Fund, the New Agreement would continue in force with respect to the Fund until December 14, 2020, unless sooner terminated as provided in the New Agreement. The New Agreement would continue in force from year to year thereafter with respect to the Fund so long as it is specifically approved at least annually in the manner required by the 1940 Act.

The New Agreement may be terminated with respectentitled to a Fund at any time without payment of any penalty by the Board of Trustees of the Trustproportionate fractional vote. The presence in person or by the voteproxy of a majorityshareholders owning one-third of the outstanding voting shares of thea Fund or by FCM, upon 60 days’ written notice. In addition, before the shareholders of the Fund approve the New Agreement, the Board of Trustees or a majority of the Fund’s shareholders may terminate the New Agreement without payment of any penalty upon ten days’ written notice to FCM. The New Agreement would automatically terminate in the event of its assignment (as defined in the 1940 Act).


Under the New Agreement, as under the Initial Agreement, FCM would bethat are entitled to annual feesvote will be considered a quorum for the transaction of 0.84% of the average daily net assets of the Fund. However, FCM has contractually agreed to waive its management fee and to absorb operating expenses to the extent necessary to limit the Fund’s total annual fund operating expenses (excluding any taxes, leverage interest, brokerage commissions, dividend and interest expenses on short sales, acquired fund fees and expenses as determined in accordance with Form N-1A, expenses incurred in connection with any merger or reorganization, or extraordinary expenses such as litigation expenses) to 1.60% of average daily net assets of the Fund’s shares. This agreement will remain in effect until February 28, 2021. FCM is permitted to seek reimbursement from the Fund of previously waived fees or reimbursements to the Fund for three years from the date fees were waived or Fund expenses were paid if such repayment can be achieved within the Fund’s expense limit in effect at the time such expense was incurred and if certain other conditions are satisfied. For the Fund’s fiscal year ended October 31, 2018, Bauer waived 27% of its advisory feebusiness with respect to the Fund. The ability of Bauer to seek reimbursement of previously waived advisory fees terminated with the Acquisition.Any lesser number shall be sufficient for adjournments.

Eric Banhazl is an Interested Trustee of the Trust and is Chairman of FCM. FCM is wholly owned by Banhazl, LP. Mr. Banhazl owns a controlling interest in Banhazl, LP. Mr. Banhazl has a material interest in the Acquisition and the approval of the New Agreement because FCM receives fees from the Fund for its services as investment co-adviser.

Since February 1, 2017, none of the Trust’s Independent Trustees has had, directly or indirectly, a material interest, material transaction, or material proposed transaction to which FCM or Bauer, or any of their parents or subsidiaries, or any subsidiaries of a parent of any such entities, was or is to be a party.

Certain officers of the Trust are employees of FCM: Joy Ausili, Vice President and Assistant Secretary of the Trust, is Co-President of FCM. Rita Dam, Treasurer and Assistant Secretary of the Trust, is Co-President of FCM. Diane Drake, Secretary of the Trust, is the Chief Compliance Officer of FCM.

Required Vote

Approval of Proposals 1-2 will each require the appointmentaffirmative vote of FCM as investment advisera majority of the outstanding shares of the applicable Fund entitled to vote at the Fund will requireSpecial Meeting. INVESTMENT ADVISORY AGREEMENT

INTERIM AND NEW

INVESTMENT CO-ADVISORYADVISORY AGREEMENT
BETWEEN
INVESTMENT MANAGERS SERIES TRUST II

AND

Foothill Capital Management,VIVALDI ASSET MANAGEMENT, LLC

 

THIS INTERIM AND NEW INVESTMENT CO-ADVISORYADVISORY AGREEMENT (the “Agreement”), dated as of December 15, 2018,_________, 2021, is entered into by and betweenInvestment Managers Series Trust II, a Delaware statutory trust (the “Trust”), on behalf of its series listed in Appendix A, as amended from time to time (each a “Fund”), and Foothill CapitalVivaldi Asset Management, LLC, a Delaware Limited Liability Company (the “Advisor”).

 

WHEREAS, each of the Advisor and Castle Financial & Retirement Planning Associates, Inc. (the “Co-Advisor”) has agreed to furnish investment co-advisoryadvisory services to each Fund, each a series of the Trust, which is an open-end management investment company registered under the Investment Company Act of 1940, as amended (the “1940 Act”);

 

WHEREAS, the Co-Advisor has entered into an investment co-advisory agreement with the Trust on behalf of each Fund similar in form and substance to this Agreement (the “Initial Castle Agreement,” and as amended and restated, the “Castle Agreement”);

WHEREAS, the Advisor has previously entered into an investment co-advisory agreement with the Trust on behalf of each Fund (the “Initial Bauer Agreement,” and together with the Initial Castle Agreement, the “Initial Agreements”);

WHEREAS, the parties wish to amend and restate each Initial Agreement to reallocate the advisory fees payable to each Co-Advisor; and

WHEREAS, the quality or quantity of the services to be provided by the Advisor with respect to each Fund shall not be reduced in connection with such reallocation of fees;

WHEREAS, this Agreement has been approved in accordance with the provisions of the 1940 Act, and each Co-Advisorthe Advisor is willing to furnish such services upon the terms and conditions herein set forth;

NOW, THEREFORE, in consideration of the mutual premises and covenants herein contained and other good and valuable consideration, the receipt of which is hereby acknowledged, it is agreed by and between the parties hereto as follows:

 

1.       In General.The Advisor agrees, all as more fully set forth herein, to act as investment advisor to each Fund with respect to the investment of the Fund’s assets and to supervise and arrange for the purchase of securities for and the sale of securities or other assets held byin the investment portfolio of the Fund.

2.       Duties and Obligations of the Advisor with Respect to Investment of Assets of Each Fund.

 

(a)        Subject to the succeeding provisions of this section and subject to the direction and control of the Trust’s Board of Trustees, (the “Board” or the “Trustees”), the Advisor shall (i) act as investment advisor for and supervise and manage the investment and reinvestment of each Fund’s assets and, in connection therewith, have jointcomplete discretion with the Co-Advisor for so long as the Castle Agreement is in effect, in purchasing and selling securities and other assets for the Fund and in voting, exercising consents and exercising all other rights pertainingappertaining to such securities and other assets if any, on behalf of the Fund; (ii) supervise the investment program of the Fund and the composition of its investment portfolio; (iii) arrange, subject to the provisions of paragraph 3 hereof, for the purchase and sale of securities and other assets held in the investment portfolio of the Fund; (iv) furnish to the Board and/or the officers ofkeep the Trust such reports and statements and other information relatingfully informed with regard to aeach Fund’s investment performance and investment mandate compliance as the Trustees or officers may reasonably request;compliance; and (v) furnish the Trust with such other documents and information as the Trustees or officers of the Trust may from time to time reasonably request. For purposes of clarity, for so long as the Castle Agreement is in effect, either the Advisor or the Co-Advisor shall have the authority to take any action in accordance with this Section 2(a) of this Agreement with respect to a Fund and any such action will be deemed by the Fund to be approved by the other; and any action taken with respect to a Fund pursuant to this Section 2(a) of this Agreement must be agreed upon by both the Advisor and the Co-Advisor, and in the event of a disagreement between the Advisor and the Co-Advisor, the Co-Advisor shall have complete discretion to take such action.


(b)        In performing its duties under this Section 2 with respect to a Fund, the Advisor may choose to delegate some or all of its duties and obligations under this Agreement to one or more investment sub-advisors, subject to the approval of the Co-Advisor.sub-advisors. If the Advisor chooses to do so, such delegation may include but is not limited to delegating the voting of proxies relating to the Fund’s portfolio securities in accordance with the proxy voting policies and procedures of such investment sub-advisor; provided, however, that any such delegation shall be pursuant to an agreement with terms agreed upon by the Trust and approved in a manner consistent with the 1940 Act; and provided, further, that no such delegation shall relieve the Advisor from its duties and obligations of management and supervision of the management of the Fund’s assets pursuant to this Agreement and to applicable law. If the Advisor delegates any of its duties and obligations under this Agreement with respect to a Fund to one or more investment sub-advisors, then subject to the requirements of the 1940 Act and the rules and regulations thereunder, prior approval of the Board and any exemptive relief provided by the Securities and Exchange Commission (the “SEC”), the Advisor shall have subject to the approval of the Co-Advisor, (i) overall supervisory responsibility for the general management and investment of the Fund’s assets; (ii) full discretion to select new or additional investment sub-advisors for the Fund; (ii)(iii) full discretion to enter into and materially modify existing sub-advisory agreements with investment sub-advisors; (iii)(iv) full discretion to terminate and replace any investment sub-advisor; and (iv)(v) full investment discretion to make all determinations with respect to the investment of the Fund’s assets not then managed by an investment sub-advisor. In connection with the Advisor’s responsibilities with respect to any sub-advised Fund, for which one more investment sub-advisors manages all or a portion of the Fund’s assets (each a “sub-advised portion”), the Advisor shall subject to the approval of the Co-Advisor, (x)(i) assess the Fund’s investment focus and investment strategy for each sub-advised portfolio of the Fund; (y)(ii) perform diligence on and monitor the investment performance of each sub-advised portion and the investment sub-advisor’s adherence to the investment strategy of the sub-advised portion or the Fund, as applicable, and compliance procedures of each investment sub-advisor providing services to the Fund; and (z)(iii) seek to implement decisions with respect to the allocation and reallocation of the Fund’s assets among one or more current or additional investment sub-advisors from time to time, as the Advisor deems appropriate, to enable the Fund to achieve its investment goals. The Advisor shall notify the Trust in writing of any change of control of the Sub-advisor at least 90 days prior to any such changes and any changes in the key personnel who are either the portfolio manager(s) of the Fund or senior management of the Sub-Advisor, In addition, the Advisor shall monitor compliance by each investment sub-advisor of a Fund with the investment objectives, policies and restrictions of the Fund, and review and periodically report to the Board of Trustees of the Trust on the performance of each investment sub-advisor.


3.       Covenants.In the performance of its duties under this Agreement, the Advisor:

 

(a) shall at all times conform to, and act in accordance with, any requirements imposed by: (i) the provisions of the 1940 Act and the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and all applicable Rules and Regulations of the SEC;Securities and Exchange Commission (the “SEC”); (ii) any other applicable provision of Federal law; (iii) the provisions of the Agreement and Declaration of Trust and By-Laws of the Trust, as such documents are amended from time to time and as furnished to the Advisor;time; (iv) the investment objectives and policies of each Fund as set forth in its Prospectus and Statement of Additional Information included in the Trust’s Registration Statement on Form N-1A; and (v) compliance policies and procedures of the Trust adopted by the Board of Trustees of the Trust, as furnished to the Advisor;Trust;

 

(b) will, with respect to each Fund’s assets not managed by an investment sub-advisor, subject to the approval of the Co-Advisor place purchase or sale orders either directly with the issuer or with any broker or dealer. Subject to the other provisions of this paragraph, in placing orders with brokers and dealers, the Advisor will subject to its duty to seek best execution, attempt to obtain the best price and the most favorable execution of its orders. In placing orders, the Advisor will consider the experience and skill of the broker or dealer,firm’s securities traders as well as the firm’s reputation for financial responsibility and administrative efficiency. Consistent with this obligation, the Advisor may select brokers on the basis of the research, statistical and pricing services they provide to the Fund and other clients of the Advisor. Information and research received from such brokers will be in addition to, and not in lieu of, the services required to be performed by the Advisor hereunder. A commission paid to a brokersuch brokers may be higher than that which another qualified broker would have charged for effecting the same transaction, provided that the Advisor determines in good faith that such commission is reasonable in terms either of the transaction or the overall responsibility of the Advisor to the Fund and its other clients and that the total commissions paid by the Fund will be reasonable in relation to the benefits to the Fund over the long term. In no instance, however, will the Fund’s securities be purchased from or sold to the Advisor, or any affiliated person thereof, except to the extent permitted by the SEC or by applicable law;

 

(c) will treat confidentially and as proprietary information of each Fund all records and other information relative to the Fund, (except for proprietary information relating to the Advisor’s methodology unless such information is required to be maintained in the records of the Fund by the 1940 Act or the rules or regulations thereunder), and to the Fund’s prior, current or potential shareholders, and will not use such records and information for any purpose other than performance of its responsibilities and duties hereunder, except after prior notification to and approval in writing by the Fund, which approval shall not be unreasonably withheld and may not be withheld when the Advisor may be exposed to civil or criminal contempt proceedings for failure to comply, when requested to divulge such information by duly constituted authorities, or when so requested by the Fund;


(d) will maintain errors and omissions insurance in an amount at least equal to that disclosed to the Board of Trustees in connection with its approval of this Agreement;Agreement, or will provide the Trust with at least 30 days’ advance written notice if the Advisor obtains such insurance in a lesser amount;

 

(e) will supply such information to the Trust’s co-administrators and permit such compliance inspections by the Trust’s co-administrators as shall be reasonably necessary to permit the co-administrators to satisfy their obligations and respond to the reasonable requests of the Board of Trustees, including without limitation full copies of all letters received by the Advisor during the term of this Agreement from the staff of the U.S. Securities and Exchange Commission regarding its examination of the activities of the Advisor; and

 

(f) will use its best efforts to assist the Trust and each Fund in implementing the Trust’s disclosure controls and procedures, and will from time to time provide the Trust a written summaryassessment of its compliance policies and procedures that is reasonably acceptable to the Trust to enable the Trust to fulfill its obligations under Rule 38a-1 under the 1940 Act.

 

4.       Services Not Exclusive.Nothing in this Agreement shall prevent the Advisor noror any officer, employee or affiliate thereof from acting as investment advisor or investment sub-advisor for any other person, firm or corporation, including any other investment company or pooled investment vehicle, or from engaging in any other lawful activity, and shall not in any way limit or restrict the Advisor or any of its officers, employees affiliates or agents from buying, selling or trading any securities for its or their own accounts or for the accounts of others for whom it or they may be acting; provided, however, that the Advisor will undertake no activities which, in its judgment, will adversely affect the performance of its obligations under this Agreement.

 

5.       Books and Records.In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Advisor hereby agrees that all records which it maintains for each Fund are the property of the Trust and further agrees to surrender promptly to the Trust any such records upon the Trust’s request. The Advisor further agrees to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act the records required to be maintained by Rule 31a-1 under the 1940 Act. Notwithstanding anything in this Agreement to the contrary, and to the extent permitted by applicable law, the Trust will not object to the Advisor may maintainmaintaining copies of any such records, including the performance records of each Fund, and will not object to the Advisor may useusing such performance records to promote its services to other accounts, including other fund accounts.

 

6.       Agency Cross and Rule 17a-7 Transactions.From time to time, the Advisor or brokers or dealers affiliated with it may find themselves in a position to buy for certain of their brokerage clients (each an “Account”) securities which the Advisor’s investment advisory clients wish to sell, and to sell for certain of their brokerage clients securities which advisory clients wish to buy. The Advisor or the affiliated broker or dealer cannot participate in this type of transaction (known as a cross transaction) on behalf of an advisory client and retain commissions from one or both parties to the transaction without the advisory client’s consent. This prohibition exists because when the Advisor makes an investment decision on behalf of an advisory client (in contrast to a brokerage client that makes its own investment decisions), and the Advisor or an affiliate is receiving commissions from both sides of the transaction, there is a potential conflicting division of loyalties and responsibilities on the Advisor’s part regarding the advisory client. The SEC has adopted a rule under the Advisers Act which permits the Advisor or its affiliates to participate on behalf of an Account in agency cross transactions if the advisory client has given written consent in advance. By execution of this Agreement, the Trust authorizes the Advisor or its affiliates to participate in agency cross transactions involving an Account, provided that the Advisor agrees that it will not arrange purchases or sales of securities between a Fund and an Account advised by the Advisor unless (a) the purchase or sale is in accordance with applicable law (including Rule17a-7 under the 1940 Act) and the Trust’s policies and procedures, (b) the Advisor determines that the purchase or sale is in the best interests of the Fund, and (c) the Trust’s Board of Trustees has approved these types of transactions. The Trust may revoke its consent at any time by written notice to the Advisors.Advisor.


7.       Expenses.During the term of this Agreement, each Fund will bear all expenses not expressly assumed by the Advisor or Co-Advisor incurred in the operation of the Fund and the offering of its shares. Without limiting the generality of the foregoing:

 

(a)       Each Fund shall pay (i) fees payable to the Advisor pursuant to this Agreement and fees payable to the Co-Advisor pursuant to the Castle Agreement; (ii) the cost (including brokerage commissions, transaction fees or charges, if any) incurred in connection with purchases and sales of the Fund’s portfolio securities and other investments and any losses in connection therewith; (iii) expenses of organizing the Fund (but not any expenses of organizing the Trust);Fund; (iv) filing fees and expenses if any, relating to registering and qualifying and maintaining the registration and qualification of the Fund’s shares for sale under federal and state securities laws; (v) the Fund’s proportionate share of:of compensation, fees and reimbursements paid to the Trustees who are not “interested persons” of the Trust or of the Advisor or Co-Advisor and compensation payable to the chief compliance officer of the Trust and other officers of the Trust not otherwise affiliated with the Trust or the Advisor or Co-Advisor;Trust’s non-interested Trustees; (vi) fees or expenses of custodians, transfer agents, registrars, independent pricing vendors or other service providers (except sub-advisors); (vii) legal and accounting expenses, including costs for local representation in the Trust’s jurisdiction of organization and fees and expenses of independent legalspecial counsel, if any, for the Trust’s non-interested Trustees; (viii) all federal, state and local taxes (including stamp, excise, income and franchise taxes) and the preparation and filing of all returns and reports in connection therewith; (ix) cost of certificates, if any, and delivery to purchasers; (x) expenses of preparing and filing reports with federal and state regulatory authorities; (xi) the Fund’s share of expenses of shareholdershareholders’ meetings, meetings of the Board or any committee thereof, and other meetings of the Trust; (xii) expenses of preparing, printing and distributing proxy statements relating to the Fund (unless otherwise agreed to by the Trust and the Advisor or Co-Advisor)Advisor); and (xiii) costs of any liability, uncollectible items of deposit and other insurance or fidelity bonds; (xiv) any costs, expenses or losses arising out of any liability of or claim for damage or other relief asserted against the Fund for violation of any law; (xv) expenses of preparing, typesetting, printing and distributing prospectuses and statements of additional information relating to the Fund and any supplements thereto, and reports, statements, notices and dividends to the Fund’s shareholders (except that, if such prospectus, statement of additional information, supplement thereto, report, statement or notice relates to series of the Trust other than the Fund, then the Fund shall be responsible for only its proportionate share of such expenses);shareholders; (xvi) shareholder servicing fees; (xvii) interest; (xviii) governmental fees; (xix) costs, including interest expenses and loan commitment fees, of borrowing money; (xx) website costs, ifcosts; (xxi) the Fund’s share of compensation, fees and expenses of the Trust’s chief compliance officer and any relating toemployees of the FundTrust; (xxii) audit fees; and (xxiii) the Fund’s proportionate share of litigation expenses of the Trust (that relate to the Fund) and any non-recurring or extraordinary expenses as may arise, that relate to the Fund, including, without limitation, expenses relating to the Trust’s obligation to indemnify others; and


(b)       the Advisor shall pay all expenses incurred by it in the performance of its duties under this Agreement, including all costs and expenses of its employees and any overhead incurred in connection with its duties hereunder, and all fees of any sub-advisors it retains for the Fund pursuant to Section 2(b).sub-advisors.

 

8.       Compensation of the Advisor.Each Fund agrees to pay to the Advisor and the Advisor agrees to accept as full compensation for all services rendered by the Advisor pursuant to this Agreement, a fee accrued daily and paid monthly in arrears at an annual rate listed inAppendix A with respect to the Fund’s average daily net assets. For any period less than a month during which this Agreement is in effect, the fee shall be prorated according to the proportion which such period bears to a full month of 28, 29, 30 or 31 days, as the case may be. The fee payable to the Advisor under this Agreement maywill be reduced to the extent required by any expense limitation agreement. The Advisor may voluntarily absorb certain Fund expenses or waive all or a portion of its fee pursuant to such a written expense limitation agreement.fee.

 

9.       Advisor’s Liability.The Advisor shall have responsibility for the accuracy and completeness (and liability for the lack thereof) of the statements in each Fund’s offering materials (including the prospectus, the statement of additional information, and advertising and sales materials,materials), except for information supplied by the Co-Advisor,co-administrators or the co-administrators, the Trust (including the officers and Trustees of the Trust) or another third party for inclusion therein. The Advisor will not be liable for any error of judgment or mistake of law or for any loss suffered by the Advisor or by the Trust including the Fund and any other series, in connection with the performance of this Agreement, except a loss resulting from a breach of fiduciary duty with respect to the receipt of compensation for services or a loss resulting from willful misfeasance, bad faith or gross negligence on the Advisor’sits part in the performance of its duties or from reckless disregard by it of its duties under this Agreement.

 

10.       Duration and Termination.

 

(a) This Agreement shall become effective with respect to theeach Fund as of the date hereof and shall terminate with respect to the Fund 150 days after such effective date unless it has been approved by a majority of the Fund’s shareholders prior to such termination date (such period preceding such termination or Fund shareholder approval, the “Interim Period”).; provided, however, that the term of this Agreement may be extended if permitted by regulatory or other action by the SEC or its staff. If this Agreement is so approved by a majority of the Fund’s shareholders, then unless sooner terminated with respect to the Fund as provided herein, this Agreement shall continue in effect with respect to the Fund until the second anniversary hereof. Thereafter, if not terminated, this Agreement shall continue in effect with respect to the Fund for successive periods of 12 months, provided that such continuance is specifically approved at least annually by both (i)(a) the vote of a majority of the Trust’s Board of Trustees or the vote of a majority of the outstanding voting securities of the Fund at the time outstanding and entitled to vote, and (ii)(b) the vote of a majority of the Trustees who are not parties to this Agreement or interested persons of any party to this Agreement, cast in person at a meeting called for the purpose of voting on such approval.


(b) 

During the Interim Period, the compensation earned under this Agreement will be held in an interest-bearing escrow account with the Fund's custodian. If a majority of the Fund's outstanding voting securities approve this Agreement with respect to the Fund by the end of the 150-day period following the effective date of this Agreement, the amount in such escrow account (including interest earned) will be paid to the Advisor. If a majority of the Fund’s outstanding voting securities do not approve this Agreement during such 150-day period, the Advisor will be paid, out of the escrow account, the lesser of (i) any costs incurred by the Advisor in performing its duties pursuant to this Agreement with respect to the Fund during the Interim Period (plus interest earned on that amount while in escrow), and (ii) the total amount in the escrow account (plus interest earned).

 

(c) This Agreement may be terminated by the Trust at any time as to a Fund, without the payment of any penalty, upon giving the Advisor 60 days’ notice (which notice may be waived by the Advisor), provided that such termination by the Trust shall be directed or approved by the vote of a majority of the Trustees of the Trust in office at the time or by the vote of the holders of a majority of the voting securities of the Fund at the time outstanding and entitled to vote, or by the Advisor on 60 days’ written notice (which notice may be waived by the Trust). Notwithstanding the foregoing, during the Interim Period the Trust’s Board of Trustees or a majority of the outstanding voting securities of the Fund may terminate this Agreement at any time, without the payment of any penalty, on ten days’ written notice to the Advisor. This Agreement will also immediately terminate in the event of its assignment. (As used in this Agreement, the terms “majority of the outstanding voting securities,” “interested person” and “assignment” shall have the same meanings of such terms in the 1940 Act.)

 

11.       Notices. Any notice under this Agreement shall be in writing to the other party at such address as the other party may designate from time to time for the receipt of such notice and shall be deemed to be received on the earlier of the date actually received or on the fourth day after the postmark if such notice is mailed first class postage prepaid.


12.       Amendment of this Agreement.This Agreement may only be amended by an instrument in writing signed by the parties hereto. Any amendment of this Agreement shall be subject to the 1940 Act, and no amendment to this Agreement as to a Fund shall be effective until approved by vote of a majority of such Fund’s outstanding voting securities, if required by the 1940 Act or other applicable law. No amendment to this Agreement or the termination of this Agreement with respect to a Fund shall affect this Agreement as it pertains to any other Fund, nor shall any such amendment require the vote of the shareholders of any other Fund.Act.

 

13.       Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware for contracts to be performed entirely therein without reference to choice of law principles thereof and in accordance with the applicable provisions of the 1940 Act.

 

14.       Use of the Names of the Fund. The Advisor has consented to the use by each Fund of the name or identifying word “Vivaldi” in the name of the Fund. Such consent is conditioned upon the employment of the Advisor as the investment advisor to the Fund. The name or identifying word “Vivaldi” may be used from time to time in other connections and for other purposes by the Advisor and any of its affiliates. The Advisor may require any Fund to cease using “Vivaldi” in the name of the Fund and in connection with the Fund’s operations if the Fund ceases to employ, for any reason, the Advisor, any successor thereto or any affiliate thereof as investment advisor.

15.       Additional Limitation of Liability.The parties hereto are expressly put on notice that a Certificate of Trust, referring to the Trust’s Agreement and Declaration of Trust (the “Certificate”), is on file with the Secretary of the State of Delaware. The Certificate was executed by a trustee of the Trust on behalf of the Trust as trustee, and not individually, and, as provided in the Trust’s Agreement and Declaration of Trust, the obligations of the Trust are not binding on the Trust’s trustees, officers or shareholders individually but are binding only upon the assets and property of the Trust, or the particular series in question, as the case may be. Further, the liabilities and obligations of any series of the Trust shall be enforceable only against the assets belonging to such series, and not against the assets of any other series.


16.       15. Miscellaneous.The captions in this Agreement are included for convenience of reference only and in no way define or delimit any of the provisions hereof or otherwise affect their construction or effect. If any provision of this Agreement shall be held or made invalid by a court decision, statute, rule or otherwise, the remainder of this Agreement shall not be affected thereby. This Agreement shall be binding on, and shall inure to the benefit of the parties hereto and their respective successors.

 

17.       16. Counterparts.This Agreement may be executed in counterparts by the parties hereto, each of which shall constitute an original counterpart, and all of which, together, shall constitute one Agreement.
